Partner agreement

Version 2026-09-07-payout-hold. Australian individuals and businesses. AUD payments.

1. Who this agreement is with

This agreement is between Equila Pty Ltd trading as CordoCare and the approved Australian adult individual or business named in the application. Joining is free. No subscription purchase, staff membership, minimum sales target or exclusive arrangement is required. The programme concerns CordoCare software subscriptions and document products only.

2. Your approved programme

General referrers receive A$50 once for a new organisation that activates its first trial through CordoCare’s card-required Stripe checkout and makes its first successful card subscription payment after the trial. Existing or restarted trials do not qualify. A completed checkout alone earns nothing. That customer receives A$50 credit against subsequent CordoCare subscription invoices, with no cash redemption. Approved affiliates receive 25% of qualifying subscription revenue during the first 12 calendar months from the organisation’s first successful cash payment, and 25% on attributed document packs and the Master Bundle. Optional branding is excluded. The two subscription rewards do not stack. Existing customers, self-referrals, duplicate organisations used to create extra rewards, free trials, credits and unsuccessful payments do not qualify. A purchasing organisation is counted once regardless of its staff seats.

3. Attribution and agreed rates

A valid referral link remains eligible for 90 days. The last valid referral link before signup or pack checkout takes priority over earlier links. Direct visits do not replace it. A valid code explicitly entered before attribution is fixed takes priority. Subscription attribution and the reward terms are fixed at signup or, if no referral was recorded at signup, when the organisation is first created. Pack attribution is fixed separately at each checkout. A later affiliate approval changes future referrals only. CordoCare will investigate credible tracking errors using transaction evidence and give the partner a reasoned outcome.

4. Calculation and the first 12 months

Commission is calculated on cash actually collected after discounts, excluding GST, credits and refunded amounts. Processing and domestic payout fees are paid by CordoCare. Applicable GST on a partner’s taxable supply is added to the commission. Eligible paid seat increases are included within the original anniversary. Monthly payments become eligible after 14 days. Annual payments are apportioned across their paid service coverage and released as each service month completes, subject to the verification period. Coverage after the original anniversary does not earn commission, including an annual upgrade partway through that period. Pauses, restarts and cancellation do not extend the anniversary. Cancellation stops future unpaid earnings; legitimate earnings and unrefunded annual paid coverage remain payable.

5. Refunds, disputes and adjustments

Partial refunds reduce the corresponding commission proportionally to the refunded payment. If Stripe provides a payment-level refund without product allocation, it is allocated proportionally across the purchased lines. A payment dispute places the corresponding commission under review until the provider resolves it. Adjustments are recorded against future earnings with a clear explanation. CordoCare does not automatically debit the partner’s PayPal or bank account. A negative balance is carried forward without interest. A good-faith partner may request review of any adjustment.

6. Monthly payouts

Once payouts are enabled, each positive available AUD balance, including one cent, is scheduled for submission to the partner’s verified PayPal account on the 1st of the month using Australia/Adelaide time. Amounts must be available by the start of that day. There is no programme minimum. Receipt depends on PayPal processing and account restrictions. Failed, unclaimed or delayed payments remain owing and are shown in the partner area. Missed runs are recovered as soon as practicable. Required identity, tax or funding checks may delay a payment; CordoCare will explain the issue and the action needed. A funding shortfall does not extinguish a partner’s entitlement.

7. Joining while cash payouts are on hold

If you join while the payout hold notice is displayed, you may share links and earn qualifying rewards under this agreement. Cash payouts are delayed because PayPal has not approved CordoCare’s payout account. A review has been requested; approval and a payment start date are not guaranteed. Earnings are recorded as a debt owing by CordoCare, not money held in a PayPal wallet. The hold does not change agreed rates, the subscription commission period, refund rules or customer credits. There is no programme minimum. We will notify partners when payment arrangements are ready. If PayPal remains unavailable, CordoCare will contact affected partners to arrange another payment method. Legitimate earnings remain payable, including if you leave. You may contact us at any time about payment or use the concerns and disputes process below.

8. Advertising and professional conduct

Disclose the paid relationship prominently near each referral recommendation, for example: “I may earn a reward if you buy CordoCare through this link.” Use truthful claims and approved resources. Do not imply guaranteed compliance, registration, income or business results. Do not impersonate CordoCare, misuse its trade marks, create deceptive destinations, stuff tracking cookies or use misleading reviews. Do not send unsolicited bulk invitations or upload other people’s contact lists to CordoCare. Obtain required employer or professional permissions and disclose conflicts.

9. Inviting a friend by email

Send an invitation only after the recipient has expressly agreed to receive that CordoCare invitation. Record the true date and method of their permission. Being friends or colleagues alone is not permission. Use one address at a time, with no contact-list uploads, unsolicited reminders or attempts to bypass an unsubscribe. CordoCare limits invitations to five per day and twenty in thirty days per referrer, and at most one invitation to an address in ninety days. Every invitation identifies CordoCare, discloses the reward and provides an unsubscribe option. You must not falsely claim that someone agreed.

10. NDIS boundaries

No payment is offered for participant placement, directing a participant to a support provider or interfering with choice and control. A partner must not use confidential participant information, an employer’s records or professional influence to obtain a reward improperly. Software and document recommendations must be independent of participant service referrals. A shared network alone is not evidence of abuse.

11. Tax responsibilities and records

Providing an ABN is optional. You may join and receive payouts without one. If you quote an ABN, provide your GST status and notify CordoCare when either changes. CordoCare does not request tax file numbers (TFNs). Valid no-ABN exceptions require a truthful supplier statement and supporting evidence where needed. CordoCare does not assume anyone is a hobbyist. Statutory withholding applies where required and is separately recorded. The A$75 small-supply exception cannot be obtained by splitting a larger supply into monthly instalments. Partners remain responsible for declaring income and their own business obligations. CordoCare provides statements, tax records where authorised and accounting exports.

12. Changes, leaving and suspensions

You may leave at any time through settings. Existing legitimate referral entitlements and earned commissions survive closure. CordoCare may change future offers with clear notice; a later rate reduction does not retrospectively alter fixed referral terms. CordoCare may pause new referrals or affected payouts for a specific, documented identity, tax, legal or abuse issue. It will explain the reason, give a reasonable opportunity to respond and review the issue promptly. An investigation does not create an arbitrary right to confiscate unrelated earnings. There is no non-compete obligation.

13. Concerns and disputes

Contact CordoCare through its contact page with the referral or payout reference. CordoCare will acknowledge the concern within five business days and aim to provide a reasoned decision within 20 business days, explaining any necessary extension. A partner may request a further review by a person who did not make the original decision. The parties may agree to independent mediation. Nothing in this agreement excludes non-excludable Australian Consumer Law rights or other statutory rights. South Australian law applies, subject to rights and jurisdiction that cannot lawfully be excluded.

14. Privacy and retention

The referral collection notice explains the contact, tax, payment and first-party tracking data used to operate this programme. Partners see anonymous referral references and aggregated campaign performance, not customer contact details, participant records or private application activity. Marketing consent is separate and may be withdrawn. Raw referral visits are retained for up to 90 days; financial and tax evidence is retained for at least the applicable statutory period, generally five years, and longer only for a legal requirement or unresolved dispute.

Recipient-created tax invoice agreement

For eligible taxable referral services, the supplier agrees that Equila Pty Ltd trading as CordoCare may issue recipient-created tax invoices and adjustment notes. The supplier will not issue tax invoices for the same supplies. The supplier acknowledges that it is registered for GST and will notify CordoCare if it ceases to be registered. CordoCare acknowledges that it must be registered for GST to issue these documents and must notify the supplier if that changes. This agreement applies only while the statutory requirements are met and the supplier has expressly accepted it. CordoCare will issue the document within 28 days of the supply or determination of its value, independently of payout timing, and retain the required copies. A payment statement is not an RCTI.
